Arena Kingdom Terms of Service

IMPORTANT: These Terms contain significant limitations of liability, releases, user indemnities, rules governing virtual items and creator earnings, and dispute-resolution provisions. Users must read them before creating an account or purchasing anything.

1. Contract and operator

These Terms of Service ("Terms") form a legally binding agreement between the person accessing the Services ("User", "you" or "your") and Nkiza Ltd, a company incorporated in Rwanda ("Arena Kingdom", "Company", "we", "us" or "our").

The "Services" include areking.com, Arena Kingdom applications, livestreams, messaging, competitions, profiles, rankings, virtual items, creator tools, private live sessions, marketplaces, impact features and every related service we control. Separate policies identified in these Terms are incorporated by reference and form part of the agreement.

2. Definitions and interpretation

Capitalised words have the meanings below wherever they appear in this Suite, unless a specific policy expressly gives a narrower meaning. Singular includes plural and vice versa; "including" means "including without limitation"; references to writing include authorised electronic communications; and headings do not affect interpretation.

"Account" means the unique user profile and access credentials through which a User accesses account-based Services.

"Affiliate" means an entity that directly or indirectly controls, is controlled by, or is under common control with Arena Kingdom.

"Applicable Law" means every law, regulation, binding code, court order, regulatory requirement and mandatory consumer rule applicable to a person, transaction, territory, feature or item of Content.

"Approved Territory" means a country or region in which Arena Kingdom has expressly made the relevant Service or monetisation feature available.

"Arena" means a category, stage, room, event or competition environment made available through the Services.

"Arena Energy" means a revocable platform-generated engagement indicator calculated from eligible activity and having no cash or property value.

"Arena Kingdom" means the Platform brand and, where the context concerns legal rights or obligations, Nkiza Ltd and its relevant Affiliates.

"Business User" means a User acting for commercial, professional, organisational or income-generating purposes, including a Creator or Seller where applicable.

"Buyer" means a User who purchases or attempts to purchase a product or service through the Marketplace.

"Coin" means a limited, revocable, non-transferable digital licence credit used only to activate authorised digital experiences on the Platform; Coins are not money or property.

"Community Guidelines" means the conduct and Content rules in Part III, as updated and supplemented by feature-specific safety notices.

"Company Content" means software, interfaces, designs, text, graphics, audio, video, trademarks, data, rankings, virtual items and other material owned or licensed by Arena Kingdom, excluding User Content.

"Competition" means an Arena, challenge, tournament, selection, ranking event or other organised activity offering recognition, qualification or a Prize.

"Content" means text, audio, music, video, livestreams, images, messages, comments, profiles, listings, advertisements, metadata and other material made available through the Services.

"Creator" means a verified eligible User who broadcasts, publishes, performs, competes or otherwise creates Content and may be authorised to participate in monetisation.

"Creator Earnings" means a monetary amount finally approved as payable to an eligible Creator under Part V after all conditions, deductions, reserves and adjustments.

"Creator Rewards" means provisional internal attribution units or dashboard indicators that are not money, property or a guaranteed payment.

"Creator Share" means the disclosed percentage of Eligible Net Gift Revenue used to calculate potential Creator Earnings.

"Eligible Gift" means a Gift that was lawfully purchased and activated, attributed to an eligible Creator, not refunded, reversed, charged back, fraudulent, manipulated or otherwise excluded under the applicable rules.

"Eligible Net Gift Revenue" means amounts actually and finally received by Arena Kingdom and attributable to Eligible Gifts, less the deductions stated in Part V and the applicable payout schedule.

"Event Rules" means the additional eligibility, timing, scoring, judging, Prize and procedural rules published for a specific Competition.

"Fans' Choice" means a separately identified result determined through the free or non-purchased audience participation method stated in the Event Rules.

"Gift" means a digital animation, effect, recognition or experience activated using Coins; a Gift is not a transfer of money or property to a Creator.

"Gifters' Choice" means a separately identified result determined using Eligible Gifts under published Event Rules.

"Impact Fund" means the Company-funded social-impact programme described in Part XIV, not a user trust or charitable donation account unless expressly restructured.

"Marketplace" means the feature through which third-party Sellers may list and sell products or services to Buyers.

"Payment Provider" means an app store, card acquirer, payment processor, mobile-money operator, payout provider or other third party handling payments or settlements.

"Platform" means the Arena Kingdom website, applications, technology and controlled digital environments through which the Services are offered.

"Private Live Session" means a scheduled or on-demand limited-access live interaction available only to verified adults under Part XII.

"Prize" means money, goods, services, recognition, qualification or another benefit expressly identified as an award in Event Rules.

"Promotional Credits" means Coins, Gifts, discounts or benefits granted without full payment and subject to disclosed promotional conditions, including possible expiry.

"Public Content" means User Content made available to the public or a broad audience through the User's settings or the nature of the feature.

"Rank" means a crown, title, badge, level, position, status or recognition indicator controlled by Arena Kingdom and having no ownership or guaranteed monetary value.

"Seller" means the person or entity identified in a Marketplace listing as supplying the relevant third-party product or service.

"Services" means the Platform and every website, application, livestream, message, competition, profile, ranking, virtual item, creator, marketplace, private-session, impact and related feature controlled by Arena Kingdom.

"Stream" means a live or substantially real-time audio, audiovisual or interactive transmission through the Services.

"Suite" means these Terms and all incorporated policies, schedules, Event Rules and feature-specific terms forming the Arena Kingdom legal-policy package.

"User" means a visitor, account holder, Creator, guest, Buyer, Seller, applicant or other person who accesses or uses any Service.

"User Content" means Content submitted, transmitted, performed, listed or otherwise made available by or on behalf of a User, excluding Company Content.

"Verified Adult" means a person whom Arena Kingdom or its provider has verified, using the method then required, as being at least 18; verification reduces but does not eliminate identity risk.

2.1 Document hierarchy

If documents conflict, the following order applies only to the conflicting subject: (a) mandatory Applicable Law; (b) a separately signed agreement expressly overriding this Suite; (c) Event Rules for the relevant Competition; (d) feature-specific commercial terms presented and accepted at the relevant transaction; (e) the applicable specialised policy in Parts II–XV; and (f) these general Terms. A more specific rule prevails over a general rule only within its stated scope.

2.2 Protective construction

Every disclaimer, release, limitation, remedy, licence, reservation of rights and indemnity applies independently and cumulatively to the fullest extent permitted by Applicable Law. If a provision is excessive or unenforceable, it must be narrowed to the maximum enforceable scope rather than discarded, unless Applicable Law requires otherwise.

2.3 No implied waiver or obligation

Examples are illustrative, not exhaustive. A permission for one feature does not authorise another. Failure to exercise a right immediately does not waive it. Moderation, verification, investigation or assistance in one case does not create a general duty to prevent every violation or guarantee any User, Content, product or transaction.

3. Acceptance and authority

By clicking "I Agree", registering, purchasing, broadcasting, participating in an Arena or otherwise using an account feature, you confirm that you have read, understood and accepted these Terms and incorporated policies. If you do not agree, you must not use the Services.

If you act for an organisation, you represent and warrant that you have authority to bind it. That organisation is jointly responsible for use through its personnel and accounts. We may require proof of authority at any time.

4. Eligibility and adult-only accounts

Accounts and interactive features are available only to natural persons who are at least 18 years old and legally capable of entering this agreement. Public informational pages may be viewable without an account. No person previously removed may return without our express written permission.

We may require documentary or technological age and identity verification. Refusal, failure or suspected falsification permits immediate restriction, payment hold, cancellation or termination. Verification does not guarantee identity and does not make Arena Kingdom responsible for a user's misrepresentation.

5. Accounts and security

You must provide accurate, current and complete information; keep credentials confidential; secure every linked email, telephone number, device and third-party login; and notify us immediately of compromise. You are responsible for activity conducted through your account to the extent permitted by law.

Accounts, usernames, badges, titles, status indicators and access rights are licensed, not sold. You may not sell, rent, lend, transfer, share or pledge an account. We may reclaim usernames, merge duplicate records, correct balances and require re-verification.

6. Limited licence

Subject to compliance, Arena Kingdom grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access the Services for authorised purposes. Approved creators and sellers may conduct only the commercial activity expressly enabled by our tools and separate agreements.

No right is granted to source code, algorithms, ranking logic, security systems, datasets, trademarks, designs, virtual items or other Company materials except as strictly necessary to use the interface as intended.

7. Prohibited system conduct

• Scrape, crawl, harvest or index the Services except through expressly authorised public search-engine activity.
• Reverse engineer, decompile, probe, benchmark for competitive purposes, bypass access controls or discover non-public source code or algorithms.
• Use bots, scripts, click farms, emulators, artificial viewers, automated gifting, coordinated accounts or other means to manipulate discovery, energy, votes, rankings or rewards.
• Interfere with streams, overload infrastructure, introduce malicious code, test vulnerabilities without written permission or evade a ban.
• Buy, sell or transfer accounts, coins, gifts, votes, ranks, creator rewards or platform access outside authorised functions.
• Use the Services for fraud, money laundering, sanctions evasion, illegal gambling, unauthorised fundraising or any unlawful purpose.

8. User conduct and interactions

You are solely responsible for your communications, content, guests, transactions, promises and interactions. Arena Kingdom does not guarantee the identity, honesty, qualifications, legality or safety of any user. Gifts do not purchase friendship, romance, sexual interaction, private access, control, employment or any service unless a separately described platform product expressly states otherwise.

You must use official reporting, payment and marketplace systems. Any off-platform arrangement is at your own risk and is not endorsed, guaranteed or insured by Arena Kingdom.

9. User Content ownership and licence

As between you and Arena Kingdom, you retain ownership of original content you lawfully create ("User Content"). You grant Arena Kingdom and its affiliates a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to host, store, reproduce, encode, adapt for technical formats, transmit, distribute, publicly display, publicly perform, moderate, translate, create previews and thumbnails from, and otherwise use User Content to operate, secure, improve and promote the Services.

The licence includes use of your username, image, voice, performance and likeness as embodied in User Content. For public User Content selected for external marketing, we may use reasonable excerpts to identify and promote the Service. The licence ends after deletion within reasonable technical cycles, except for content retained by law, safety evidence, backups, content shared by others, accrued rights and materials already lawfully incorporated into a campaign.

You irrevocably represent and warrant that you own or control all necessary rights, permissions, releases and licences, including for music, performers, locations, privacy, publicity, trademarks and minors appearing in content. You bear all royalties, residuals and third-party payments arising from your content.

10. Moderation and evidence

We may, but are not required to, review, monitor, record, analyse, restrict, demonetise, remove, preserve or disclose content and activity to operate the Services, enforce rules, protect safety, investigate fraud, comply with law or defend rights. We may act through automated systems and human reviewers.

For public livestreams specifically, a limited number of authorised trust-and-safety personnel may join a live room to observe video and audio in real time without appearing in that room's participant list, viewer count, or being visible to the host or other participants. This access is granted only to personnel with a dedicated internal permission separate from general administrative access, requires a documented reason before each use, and is logged. It is used to investigate reports, suspected violations of these Terms or the Community Guidelines, or safety risks — not for general surveillance of ordinary streams.

We may end a livestream without warning where delay could increase harm. We may preserve reports, streams, messages, device data and transaction records for a reasonable period when relevant to safety, fraud, disputes or legal obligations. Our decision not to act in one instance is not a waiver and does not create an obligation to act identically later.

11. Virtual items and paid services

Coins, Gifts, promotional credits, subscriptions and other digital experiences are licensed digital content governed by Part IV and Part X. They are not money, deposits, securities, cryptocurrency or property; do not earn interest; and cannot be transferred, resold or redeemed by purchasers for cash.

Prices, availability and functionality may change prospectively. Purchases are final after delivery or use except where mandatory law requires otherwise. Chargebacks, fraud, pricing errors or payment reversals permit revocation, negative balance, payout hold, account restriction and recovery of costs.

12. Creators, earnings and taxes

No user has a right to monetisation. Creator eligibility, gift attribution, revenue share, payout threshold, reserves, withholding, taxes, deductions and termination are governed by Part V. No employment, partnership, agency, fiduciary or franchise relationship arises.

No income, audience, ranking, sponsorship, prize or payout is guaranteed. Estimates and dashboards are provisional until final settlement. Arena Kingdom records control absent manifest error established through the stated dispute process.

13. Competitions and rankings

Competitions are governed by Part VI and event-specific rules. We may disqualify entries, invalidate votes or gifts, correct scoring, substitute a winner, suspend a round or cancel an event where reasonably necessary for safety, integrity, illegality, fraud, technical failure or force majeure.

Ranks, crowns, titles, badges, Arena Energy and leaderboard positions are revocable recognition features with no property or monetary value. They may reset, expire or be corrected after refunds, fraud or rule violations.

14. Third parties and marketplace

Third-party services, app stores, payment providers, sellers, advertisers, links and delivery providers are governed by their own terms. Unless expressly identified as seller, Arena Kingdom provides marketplace technology and is not the manufacturer, owner or supplier of third-party goods.

Your dispute with another user or third party is directly between you and that party. To the fullest extent permitted by law, you release Arena Kingdom from claims arising exclusively from that third party's conduct, without limiting duties the law places directly on Arena Kingdom.

15. Suspension, termination and recovery

We may restrict features, remove content, freeze balances, withhold payouts, reverse benefits, disqualify entries, suspend or terminate accounts where we reasonably suspect breach, fraud, chargeback risk, safety danger, legal exposure, sanctions concerns, identity failure or harm to the Services. Emergency action may occur without prior notice.

Where practicable, we will give reasons and an appeal opportunity. Termination does not erase accrued payment obligations, indemnities, evidence, intellectual-property rights, dispute provisions or clauses intended to survive. We may set off amounts you owe against amounts otherwise payable to you.

16. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". ARENA KINGDOM DISCLAIMS ALL EXPRESS, IMPLIED AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR PURPOSE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, SECURITY AND RESULTS.

WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE STREAMING; THAT CONTENT, USERS, PRODUCTS OR ADVICE ARE ACCURATE OR SAFE; THAT DEFECTS WILL BE CORRECTED; OR THAT ANY USER WILL RECEIVE VIEWERS, GIFTS, EARNINGS, TITLES OR PRIZES. YOU USE USER CONTENT AND INTERACT WITH OTHERS AT YOUR OWN RISK.

17. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ARENA KINGDOM AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL LOSS; LOSS OF PROFITS, REVENUE, OPPORTUNITY, GOODWILL, DATA OR REPUTATION; OR LOSS ARISING FROM USERS, THIRD PARTIES, UNAUTHORISED RECORDING, CONTENT, INTERRUPTIONS, RANKINGS, GIFTS, PRODUCTS OR ACCOUNT ACTION.

TO THE FULLEST EXTENT PERMITTED BY LAW, AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT THE CLAIMANT PAID DIRECTLY TO ARENA KINGDOM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, EXCLUDING AMOUNTS PAID TO OTHER USERS OR SELLERS, OR (B) US$100.

Nothing excludes liability that cannot lawfully be excluded, including liability for fraud or other mandatory liabilities. Each exclusion and limitation is independent and applies under every legal theory.

18. User indemnity

To the fullest extent permitted by law, you will defend, indemnify and hold harmless Arena Kingdom and its affiliates, personnel and service providers from claims, investigations, losses, liabilities, penalties, judgments and reasonable legal costs arising from: your content or conduct; your breach; infringement of third-party rights; unlawful advertising or products; taxes; fraud; misuse of an account; guests you invite; or disputes between you and another person.

Consumer users are subject to this indemnity only to the extent permitted by mandatory law. Business users, creators and sellers must cooperate fully, may not settle a covered claim without our written consent, and remain responsible notwithstanding account termination.

19. Disputes and governing law

Before formal proceedings, the claimant must send a detailed written notice to contact@nkiza.com and allow 30 days for good-faith resolution, unless urgent relief or mandatory law permits otherwise. The notice must identify the account, facts, legal basis, documents and requested remedy.

These Terms are governed by the laws of Rwanda, including Law N° 011/2026 of 26/02/2026 relating to competition and consumer protection, Law N° 058/2021 of 13/10/2021 relating to the protection of personal data and privacy, and Law N° 18/2010 of 12/05/2010 relating to electronic messages, electronic signatures and electronic transactions, without regard to conflict rules. Subject to mandatory consumer jurisdiction, the competent courts of Rwanda have exclusive jurisdiction. Arena Kingdom may seek injunctive or protective relief in any competent jurisdiction.

A dispute with a Business User, Creator or Seller acting in a commercial or professional capacity that is not primarily a consumer claim may at either party's election be referred to final and binding arbitration administered by the Kigali International Arbitration Centre (KIAC), established under Law N° 51/2010 of 10/01/2010, under the KIAC Arbitration Rules then in force, seated in Kigali, conducted in English, before an arbitrator or arbitrators appointed in accordance with those Rules. This clause does not restrict a consumer's right to bring a claim before the competent courts of Rwanda, and does not limit either party's right to seek urgent injunctive or protective relief from a competent court pending the outcome of arbitration.

20. Changes, assignment and general terms

We may change the Services and these Terms. Material changes will receive reasonable notice and, where required, renewed acceptance. Continued use after the effective date constitutes acceptance only where lawful. If you reject a change, you must stop using affected Services.

You may not assign this agreement. We may assign it in connection with reorganisation, financing, merger, acquisition or transfer of the Services, subject to applicable law. Invalid provisions will be modified to the minimum extent necessary; remaining provisions survive. Failure to enforce is not waiver. These Terms and incorporated policies are the entire agreement concerning general use.
