Creator Monetisation and Payout Agreement
COMMERCIAL TERM: Complete the Creator Share, payout threshold, reserve period, eligible countries and payment provider before creator onboarding.
1. Eligibility and verification
Monetisation is invitation-based or application-based, revocable and restricted to verified adults in approved territories. Creators must complete identity, age, address, tax, payment, sanctions and fraud checks and keep information current. No approval is guaranteed.
2. Independent status
Creators are independent users, not employees, agents, partners, franchisees or representatives. They control whether and when to create content, subject to rules. No minimum work, exclusivity, salary, benefits, audience or earnings are promised unless a separate signed agreement states otherwise.
This label is a starting position, not a substitute for the substantive test Rwandan authorities and courts apply under Law N° 66/2018 of 30/08/2018 regulating labour in Rwanda, as amended by Law N° 027/2023 of 18/05/2023. Product and operations teams must ensure that, in practice, Arena Kingdom does not set fixed schedules or minimum broadcasting hours, does not exercise disciplinary authority over how a Creator performs (as opposed to enforcing the Community Guidelines), does not provide equipment, exclusivity or a fixed periodic wage outside the disclosed revenue share, and does not integrate a Creator into Arena Kingdom's organisational hierarchy. A mismatch between this clause and actual platform practice is a legal risk in itself and must be flagged to counsel before launch.
3. Eligible Net Gift Revenue
"Eligible Net Gift Revenue" means amounts actually and finally received by Arena Kingdom attributable to eligible Gifts for a creator, less taxes, app-store commissions, payment fees, refunds, chargebacks, fraud, currency costs, promotional value, reserves, legally required withholding and other deductions clearly disclosed in the payout schedule.
Subject to compliance, the creator may earn 50% of Eligible Net Gift Revenue ("Creator Share"). A Gift's Coin price, viewer purchase price, internal reward display and Creator Earnings are distinct values and need not be equivalent.
4. Statements and payment
Earnings dashboards are estimates. Final statements are issued monthly. Approved balances above US$20 (or the equivalent) are paid within 5 business days after the period, subject to provider timing, verification and holds; the Creator bears all payment-processing fees associated with the payout itself, in addition to the deductions already reflected in Eligible Net Gift Revenue. Smaller balances roll forward.
Creators must dispute a statement in writing within 60 days, identifying the transaction and evidence. Arena Kingdom records govern absent demonstrated manifest error. No audit right exists except where mandatory law requires it.
5. Reserves, withholding and set-off
We may place reasonable reserves or withhold amounts during chargeback windows, identity review, sanctions screening, rights disputes, fraud investigations, safety matters, tax non-compliance or suspected breach. We may reverse provisional attribution and set off debts, refunds, penalties owed under contract and overpayments.
If a hold exceeds 90 days, we will review it periodically unless law enforcement, litigation or exceptional complexity requires longer. Withholding is not a finding of guilt.
6. Taxes and costs
Creators are responsible for registration, income taxes, social contributions, licences, equipment, connectivity and expenses. We may collect tax information, report payments and withhold amounts required by law. Failure to supply information may suspend payment.
7. Creator warranties
The creator warrants lawful content and music rights; informed consent of guests; truthful sponsorship disclosures; no artificial engagement; compliance with competition rules; and no circumvention of platform payment systems. The creator bears claims arising from their content, guests, products, advertisements and tax obligations.
8. Termination
We may suspend or terminate monetisation separately from the account. On termination, only finally approved, non-fraudulent earnings remaining after deductions and lawful holds are payable. No payment is due for prohibited, manipulated, refunded, charged-back or unlawfully monetised activity.
